TPO Search is working with a leading Am Law firm seeking a talented Capital Markets & Public Company Advisory Associate (3–7 years) to join its established Transactions practice across several U.S. offices.

This is an excellent opportunity for an ambitious associate looking to develop a sophisticated capital markets practice, advise public and private companies on complex securities matters, and gain meaningful client exposure within a nationally recognised transactional team.

The position offers substantial responsibility, direct interaction with corporate legal and finance teams, and the opportunity to work alongside experienced partners on securities offerings, SEC reporting, and corporate governance matters.

The Opportunity

You will join an established Capital Markets & Public Company Advisory team advising public and private companies across a broad range of industries on securities transactions, regulatory compliance, and ongoing corporate advisory matters.

The practice offers a combination of transactional capital markets work and ongoing public company representation, providing an excellent platform for associates seeking to build a long-term career in this specialist area.

Key responsibilities include:

  • Advising public and private companies on domestic capital markets transactions, including public and private securities offerings.
  • Drafting and negotiating registration statements, prospectuses, offering memoranda, and related transaction documentation.
  • Advising public companies on periodic and current reporting obligations under the Securities Exchange Act of 1934.
  • Preparing and reviewing SEC filings, including Forms 10-K, 10-Q, and 8-K.
  • Drafting proxy statements and advising on annual shareholder meetings and related disclosure requirements.
  • Providing corporate governance advice involving board and committee practices, fiduciary duties, and securities exchange listing requirements.
  • Counseling public companies on ongoing securities law compliance and day-to-day corporate matters.
  • Working directly with in-house legal teams, finance departments, senior executives, and external advisers.
  • Collaborating with attorneys across multiple offices and practice areas to execute complex transactions and deliver commercially focused advice.

About You

We are interested in speaking with capital markets and securities associates who demonstrate strong transactional experience, excellent drafting skills, and the commercial judgment required to advise sophisticated corporate clients.

Ideal candidates will have:

  • 3–7 years of experience in capital markets, securities transactions, and public company advisory work.
  • A Juris Doctor (JD) degree from an ABA-accredited U.S. law school, with strong academic credentials.
  • Previous experience working within a law firm, ideally in a sophisticated capital markets or corporate securities practice.
  • Experience advising public companies on SEC reporting, disclosure requirements, and securities law compliance.
  • Experience involving public and private securities offerings and related transaction documentation.
  • Strong knowledge of the Securities Exchange Act of 1934 and applicable corporate governance requirements.
  • Experience drafting registration statements, prospectuses, offering memoranda, and SEC filings.
  • Excellent legal drafting, analytical, organisational, and communication skills.
  • The ability to manage multiple matters, work collaboratively across teams, and interact directly with clients.
  • Active membership in good standing of a U.S. state bar, with the ability to obtain timely admission in the relevant office jurisdiction.

Experience working directly with public company legal and finance teams on ongoing securities and governance matters would be particularly advantageous.
