The position offers exposure to complex securities matters, direct client engagement, and the opportunity to take on meaningful responsibility within a collaborative and supportive environment.

The Opportunity

You will work closely with experienced corporate and securities attorneys advising public companies, boards of directors, and senior executives on a broad range of securities law, disclosure, regulatory compliance, and corporate governance matters.

The practice offers exposure to sophisticated public company advisory work, securities offerings, and ongoing regulatory reporting requirements, providing an excellent platform for continued professional development.

Key responsibilities include:

  • Advising public companies on disclosure and compliance requirements under the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Drafting and reviewing SEC filings, including Forms 10-K, 10-Q, and 8-K.
  • Preparing proxy statements for annual and special shareholder meetings.
  • Assisting with Section 16 reporting obligations, including Forms 3, 4, and 5, and related compliance matters.
  • Advising on insider trading policies, trading plans, and short-swing profit rules.

  • Assisting with public and private securities offerings and related regulatory compliance.
  • Advising on national securities exchange listing requirements.
  • Working directly with clients and senior attorneys on complex securities and corporate transactions.

About You

We are interested in speaking with corporate securities associates who demonstrate strong technical ability, commercial awareness, and a genuine interest in developing a long-term career advising public companies.

Ideal candidates will have:

  • 4–6 years of experience in corporate securities law, ideally involving public company representation.
  • A Juris Doctor (JD) degree from an accredited U.S. law school.
  • Previous experience working within a law firm, preferably in a sophisticated corporate, securities, or capital markets practice.
  • Experience drafting SEC filings, proxy statements, and other public company disclosures.
  • Strong knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Familiarity with Section 16 reporting requirements and corporate governance obligations.
  • Exposure to public and private securities offerings.
  • Excellent legal drafting, research, analytical, and communication skills.
  • Strong academic credentials and admission to the relevant state bar.

Experience involving broker-dealer regulation, FINRA, investment advisers, or fund formation would be advantageous but is not essential.

Why Consider This Opportunity?

This position offers an attractive opportunity for a mid-level associate seeking greater exposure to sophisticated securities matters, meaningful responsibility, and continued professional development within a well-established corporate practice.

Key attractions include:

  • Sophisticated Public Company Work: Advise established corporate clients on securities compliance, SEC reporting, corporate governance, and capital markets transactions.
  • High-Quality Client Exposure: Work closely with experienced attorneys and contribute to complex matters involving public companies, boards, and senior executives.
