The position offers meaningful transactional responsibility, direct client engagement, and the opportunity to work alongside experienced partners advising on complex corporate transactions for public and private companies, private equity sponsors, and financial institutions.

The Opportunity

You will join an established corporate team advising domestic and international clients on a broad range of mergers and acquisitions, strategic investments, and general corporate and commercial matters.

The practice offers exposure to sophisticated transactional work across multiple industries, with opportunities to take ownership of key deal workstreams and contribute directly to the successful execution of complex transactions.

Key responsibilities include:

  • Advising public and private companies, private equity sponsors, and financial institutions on mergers, acquisitions, and other strategic corporate transactions.
  • Supporting buy-side and sell-side M&A transactions, including transaction structuring, negotiation, and execution.
  • Drafting and negotiating principal and ancillary transaction documents, including purchase agreements, disclosure schedules, and closing documentation.
  • Leading due diligence processes, coordinating specialist teams, and identifying key legal and commercial risks.
  • Managing transaction workstreams and working closely with partners, clients, and opposing counsel throughout the deal lifecycle.
  • Advising on general corporate and commercial matters, including corporate governance and contractual arrangements.
  • Coordinating complex transactions involving multiple stakeholders and competing deadlines.
  • Delivering practical, commercially focused legal advice to sophisticated corporate clients.

About You

We are interested in speaking with corporate associates who demonstrate strong transactional experience, excellent drafting skills, and the commercial judgment required to manage sophisticated M&A matters.

Ideal candidates will have:

  • 3–6 years of experience in corporate law, with a particular focus on mergers and acquisitions.
  • A Juris Doctor (JD) degree from an accredited U.S. law school, with a strong academic record.
  • Previous experience working within a law firm, ideally within a sophisticated corporate or M&A practice.
  • Significant experience drafting and negotiating transaction documents.
  • Experience leading due diligence teams and coordinating specialist attorneys across multiple practice areas.
  • Exposure to general corporate and commercial matters.
  • Excellent legal drafting, analytical, negotiation, and communication skills.
  • Strong project management capabilities and the ability to manage multiple transactions simultaneously.
  • The ability to work collaboratively while taking responsibility for key aspects of complex transactions.

Experience incorporating artificial intelligence and legal technology into transactional workflows would be particularly advantageous.

This position offers an attractive opportunity for a mid-level corporate associate seeking sophisticated transactional work, greater responsibility, and long-term career development within a nationally established corporate practice.
