Working Arrangement: Hybrid

TPO Search is working with a leading international Am Law firm seeking an experienced Public Finance Counsel (8+ years) to join its nationally recognised Public Finance practice across several U.S. offices.

This is an excellent opportunity for an established public finance attorney looking to take on a senior leadership role, advise sophisticated public and private sector clients, and play a key part in the continued growth of a highly regarded national practice.

The position offers significant autonomy, direct client engagement, and the opportunity to lead complex tax-exempt and taxable financing transactions while working alongside experienced partners on high-profile infrastructure and capital markets matters.

The Opportunity

You will join an established Public Finance team advising governmental entities, nonprofit organisations, healthcare institutions, universities, energy companies, and private sector clients on a broad range of tax-exempt and taxable financing transactions.

The practice handles sophisticated financings across healthcare, higher education, energy infrastructure, waste-to-energy, recycling, industrial development, and other public and private infrastructure sectors.

You will take a leading role in managing transactions from initial structuring through closing, serving as a primary point of contact for clients and other transaction participants.

Key responsibilities include:

  • Leading complex tax-exempt and taxable bond financings and refinancing transactions from structuring through closing.
  • Acting as bond counsel, underwriter's counsel, lender's counsel, or borrower's counsel on sophisticated public finance transactions.
  • Drafting and negotiating financing and offering documentation, including official statements, trust indentures, loan agreements, continuing disclosure agreements, certificates, and legal opinions.
  • Advising clients on federal tax requirements governing tax-exempt obligations and applicable securities law disclosure requirements.
  • Reviewing and negotiating credit support, construction, management, and related financing agreements.
  • Advising on financing transactions involving healthcare, higher education, energy, governmental, and infrastructure projects.
  • Managing transaction working groups and coordinating with issuers, underwriters, lenders, borrowers, and other stakeholders.
  • Supervising and mentoring junior attorneys and paralegals while maintaining responsibility for complex matters.
  • Working alongside partners to strengthen existing client relationships, identify new opportunities, and contribute to business development initiatives.

About You

We are interested in speaking with experienced public finance attorneys who combine deep technical expertise with strong commercial judgment, leadership capabilities, and the ability to independently manage sophisticated financing transactions.

Ideal candidates will have:

  • At least 8 years of substantial public finance experience, including significant tax-exempt bond financing work.
  • A Juris Doctor (JD) degree from an accredited U.S. law school, with a strong academic record.
  • Previous experience working within a law firm, ideally an Am Law 100 firm or a comparable sophisticated public finance practice.
  • Demonstrated experience leading tax-exempt and taxable financing transactions from inception through closing.
  • Experience representing issuers, borrowers, lenders, or underwriters in public finance transactions.
  • Strong knowledge of federal tax requirements applicable to tax-exempt obligations and federal securities disclosure regulations.
  • Extensive experience drafting and negotiating bond financing documentation, offering materials, and related legal opinions.
  • Excellent transaction management, legal drafting, negotiation, and communication skills.
  • The ability to supervise junior attorneys, coordinate complex working groups, and provide practical, commercially focused advice.
  • Admission to practice, or eligibility for admission, in the relevant state jurisdiction.

Additional experience involving real estate finance, secured lending, project finance, or infrastructure transactions would be advantageous, particularly where this includes representing lenders or underwriters.

An established client base or demonstrated interest in business development would also be welcomed.
