TPO Search is working with a leading international Am Law firm seeking an experienced Fund Finance Senior Associate or Counsel (8+ years) to join its established Corporate Debt practice across multiple U.S. offices.

This is an excellent opportunity for a senior finance attorney looking to take on greater transactional responsibility, advise sophisticated private equity sponsors and financial institutions, and play a key role in the continued growth of a highly regarded finance practice.

The position offers significant autonomy, direct client engagement, and the opportunity to work on complex fund finance and commercial lending transactions while developing meaningful relationships with institutional clients.

The Opportunity

You will join an established Corporate Debt team advising private equity funds, alternative asset managers, portfolio companies, banks, and other commercial lenders on a broad range of sophisticated financing transactions.

The practice offers exposure to complex fund finance structures, including NAV facilities and other fund-related credit arrangements, alongside a broader range of secured and unsecured corporate lending transactions.

This is a senior-level opportunity offering substantial responsibility for transaction execution, client management, and the continued development of the practice.

Key responsibilities include:

  • Advising private equity sponsors, alternative asset managers, financial institutions, and borrowers on complex fund finance transactions.
  • Structuring, drafting, and negotiating net asset value (NAV) financing facilities and other fund-related credit arrangements.
  • Advising on secured and unsecured lending transactions, including syndicated credit facilities and acquisition financings.
  • Handling asset-based lending facilities and other sophisticated commercial finance arrangements.
  • Drafting and negotiating credit agreements, security documents, guarantees, intercreditor agreements, and related financing documentation.
  • Managing complex financing transactions from initial structuring and negotiation through closing.
  • Working directly with private equity funds, portfolio companies, banks, commercial lenders, and other transaction stakeholders.
  • Coordinating transaction teams and collaborating with attorneys across corporate, private equity, and finance practices.
  • Supporting client relationship management and contributing to business development initiatives.

About You

We are interested in speaking with senior finance attorneys who demonstrate substantial fund finance expertise, strong technical capabilities, and the commercial judgment required to independently manage sophisticated financing transactions.

Ideal candidates will have:

  • At least 8 years of experience in fund finance, debt finance, or sophisticated commercial lending transactions.
  • A Juris Doctor (JD) degree from an accredited U.S. law school.
  • Previous experience working within a law firm, ideally within an established fund finance, banking, or corporate debt practice.
  • Significant experience structuring and negotiating fund finance transactions, particularly NAV facilities and other fund-related credit arrangements.
  • Strong experience involving secured and unsecured financings, syndicated lending, acquisition finance, or asset-based lending.
  • Experience representing private equity funds, alternative asset managers, portfolio companies, borrowers, banks, or commercial lenders.
  • Excellent drafting and negotiation skills, with the ability to manage complex financing documentation.
  • Strong commercial awareness and the confidence to advise sophisticated institutional clients.
  • Excellent interpersonal, communication, and transaction management capabilities.
  • An entrepreneurial mindset and an interest in developing long-term client relationships and contributing to business development.

Candidates who can demonstrate experience across both fund finance and broader corporate lending transactions will be particularly well suited to this opportunity.
