Location: New York, NY

A leading global law firm is seeking an experienced Of Counsel to join its Business & Commercial Litigation practice across a number of US offices.

This is a specialist opportunity for a senior litigator with significant experience handling disputes arising from M&A transactions, particularly post-closing indemnification and representations and warranties insurance disputes. The role offers substantial responsibility for sophisticated matters, direct client interaction and the opportunity to supervise junior lawyers.

Key Responsibilities:

• Handle complex disputes arising from M&A transactions
• Advise on post-closing indemnification disputes
• Handle representations and warranties insurance disputes
• Analyse M&A transaction documents and contractual provisions
• Work with damages calculations and complex financial issues
• Develop case strategy and manage significant litigation workstreams
• Work closely with expert witnesses
• Lead fact development and assist with depositions
• Draft and review discovery responses, briefs, motions and memoranda
• Communicate directly with clients throughout matters
• Supervise and develop associates

Who You Are:

• 8+ years of relevant litigation experience
• Significant experience with M&A post-closing indemnification disputes and/or representations and warranties insurance disputes
• Experience analysing M&A transaction documentation
• Experience working with damages calculations
• Strong commercial litigation background
• Superior research, analytical and writing skills
• Strong project management and organizational abilities
• Excellent client-facing and interpersonal skills
• Able to manage competing demands and sophisticated matters with limited supervision
• Admitted to practice in the jurisdiction in which you are applying

Compensation:

Salary Range: $400,000 – $525,000

Compensation will vary depending on geographic market, experience and overall qualifications.
