Associate Attorney – Commercial Finance

A respected transactional law practice is seeking a Commercial Finance Associate (3–5 years’ experience) to join its growing finance team. This opportunity offers exposure to a broad range of sophisticated lending transactions involving commercial lenders, financial institutions, and corporate borrowers.
Associates in this practice work on complex financing arrangements across multiple asset classes, gaining hands-on experience in structuring, documenting, and closing commercial lending transactions.
The Opportunity
You will work closely with experienced attorneys on a diverse portfolio of commercial lending matters. The practice handles sophisticated secured financing transactions involving real estate assets, corporate borrowers, securities collateral, and asset-based lending structures.
Associates in the group take an active role in managing deal execution, coordinating due diligence, negotiating documentation, and guiding transactions through closing.
Key Responsibilities

Assist with commercial lending and secured finance transactions involving institutional lenders and corporate borrowers

Conduct and manage due diligence for lending transactions, including corporate and collateral review

Draft and negotiate key financing documents including loan agreements, security agreements, and related collateral documentation

Support transactions involving real estate-backed loans, asset-based facilities, securities-backed loans, and other secured financing structures

Coordinate closing processes and manage transaction deliverables

Collaborate with internal teams and external stakeholders to ensure efficient deal execution
Ideal Candidate Profile

3–5 years of experience in commercial finance, banking, or secured lending transactions within a sophisticated law firm environment

JD required and prior experience working in a law firm

Experience with loan documentation, due diligence, and transaction management for lending matters

Familiarity with secured lending structures involving real estate, securities, or asset-based collateral

Strong drafting, analytical, and communication skills

Excellent academic credentials and attention to detail

Texas Bar membership preferred, or willingness to obtain admission
