Locations: Boston | New York | San Francisco | Santa Monica | Seattle | Silicon Valley | Washington, D.C.
Experience: 4–8 Years
Compensation: $310,000 – $445,000
A sophisticated and rapidly expanding private investment funds practice is seeking a mid-to-senior level Corporate Associate to become a core member of its team.
This is a compelling opportunity for an attorney with substantial venture capital or private equity fund formation experience to take on a central role advising innovative investment platforms, sponsors, and fund managers. The practice has a particularly strong focus on venture funds and emerging investment structures, including venture studios, incubators, accelerators, and crypto-related funds.
The Role
The successful candidate will work across the formation, operation, and ongoing counseling of private investment funds, handling sophisticated matters that combine fund structuring, corporate law, and securities regulation.
Responsibilities will include:
- Structuring and forming venture capital and private equity funds
- Advising fund sponsors and managers throughout the lifecycle of their funds
- Drafting and negotiating fund formation and governance documentation
- Counseling clients on applicable corporate and securities regulations
- Advising venture studios, incubators, accelerators, and other innovative investment platforms
- Supporting sophisticated and evolving investment structures, including crypto-related funds
- Taking meaningful responsibility for client relationships and complex transactional matters
The position offers the opportunity to become an integral member of a growing funds practice rather than simply supporting transactions from the sidelines. Associates will have significant exposure to sophisticated clients and the opportunity to deepen their expertise across both traditional and emerging areas of private investment funds.
Candidate Profile
Candidates should have:
- 4–8 years of relevant corporate experience
- Extensive experience with VC and/or PE private investment fund formation and counseling
- Strong knowledge of relevant corporate and securities laws and regulations
- Excellent drafting, analytical, negotiation, and client-facing skills
- The ability to manage sophisticated matters with increasing independence
- Strong academic credentials
- A JD
- Previous experience working in a law firm
- Admission to the applicable state bar, or eligibility to sit for or waive into the relevant jurisdiction
This position is particularly well suited to an associate who wants to build a long-term practice at the intersection of private funds, venture capital, emerging companies, and innovative investment structures.
Compensation
The anticipated base salary range for this position is $310,000 – $445,000, depending on experience and other relevant factors.
