A leading national law firm is seeking a talented mid-level Corporate Associate to join its sophisticated M&A and private equity practice in Chicago. This opportunity is designed for attorneys who thrive in fast-paced transactional environments and are looking to work on complex, high-profile deals alongside nationally recognized practitioners.

The ideal candidate will have substantial experience advising financial sponsors, private equity funds, and strategic buyers and sellers across a broad range of mergers, acquisitions, and investment transactions. Attorneys in this group benefit from direct involvement in significant matters, strong client interaction, and the opportunity to develop within a collaborative and entrepreneurial platform.

This role offers exposure to sophisticated domestic and cross-border transactions while providing meaningful responsibility and a clear path for professional growth within a nationally respected corporate practice.

Key Responsibilities

• Represent private equity sponsors and strategic clients in mergers and acquisitions transactions
• Draft, review, and negotiate acquisition and disposition agreements and related transaction documents
• Manage key aspects of deal execution from due diligence through closing
• Advise clients on transaction structure, risk allocation, and strategic considerations
• Collaborate closely with partners and cross-functional deal teams on complex matters

Qualifications

• JD from an accredited law school
• 4–6 years of M&A and private equity transactional experience within a law firm
• Strong experience representing financial sponsors and strategic buyers/sellers
• Excellent drafting, negotiation, analytical, and communication skills
• Ability to manage multiple transactions in a fast-paced environment
• Strong academic credentials required
• Admission to the Illinois Bar required
