Fund Formation & Investment Management Associate Attorney

Fund Formation & Investment Management Associate Attorney

Boston Preferred | Chicago, Dallas or New York Considered | 4–6 Years | $290,000–$390,000

A sophisticated and growing private funds practice is seeking a Fund Formation & Investment Management Associate with 4–6 years of relevant experience.

Boston is the preferred location, although strong candidates based in Chicago, Dallas or New York will also be considered.

This is an excellent opportunity for an associate who wants to deepen their experience across the full private funds lifecycle while working with both general partners and institutional limited partners on complex fund formation, investment management, secondary and restructuring matters.

The Opportunity

The practice advises GPs and LPs across the private funds market, providing associates with exposure to both sides of sophisticated investment management transactions.

The successful candidate will work on matters including:

  • Formation and structuring of private investment funds and management entities.
  • Negotiating investments involving sophisticated institutional investors, including government pension plans, funds-of-funds, endowments and foundations.
  • Advising on both buy-side and sell-side secondary transactions involving LP fund interests.
  • Handling GP-led fund restructurings and liquidity transactions.
  • Advising on Investment Advisers Act registration and related regulatory considerations.
  • Supporting investment management compliance matters.
  • Advising on Securities Act considerations applicable to private investment funds.
  • Drafting and negotiating sophisticated fund and investment management documentation.
  • Coordinating matters involving multiple attorneys and paralegals while working closely with senior lawyers and clients.

The breadth of the practice makes this particularly attractive for an associate looking to develop beyond traditional fund formation and build experience across secondaries, GP-led transactions, institutional investor negotiations and regulatory matters.

Candidate Profile

Candidates should have:

  • 4–6 years of relevant fund formation and investment management experience.
  • A JD from an ABA-accredited law school and previous experience working in a law firm.
  • Substantive experience with private fund and management company structuring.
  • Experience negotiating both for and against institutional investors.
  • Exposure to LP secondary transactions and GP-led fund restructurings.
  • A working knowledge of the Investment Advisers Act, investment management compliance and Securities Act considerations affecting private funds.
  • Strong drafting and transaction-management capabilities.
  • The ability to coordinate sophisticated matters involving multiple lawyers and other professionals.
  • Strong interpersonal skills and the confidence to engage directly with partners, senior attorneys and clients.
  • Active Bar membership in good standing, with the ability to obtain timely admission in the jurisdiction of the hiring office.

Career Development

This role provides a strong platform for an associate looking to establish themselves within the increasingly sophisticated private funds and alternative investment market.

You will join a collaborative team where associates are expected to take ownership of their matters, develop direct client relationships and contribute meaningfully to a growing practice.

The combination of GP and LP representations, fund formation, secondaries, restructurings and regulatory work offers valuable breadth while allowing you to develop the technical depth expected of a senior private funds lawyer.

For an associate seeking sophisticated work alongside experienced practitioners, increasing responsibility and a clear opportunity to continue building their market profile, this position offers a compelling next step.

Compensation

The expected salary range is $290,000–$390,000, with individual compensation determined by experience, education and other relevant factors.

A comprehensive benefits package is also offered, including medical, dental and vision coverage, retirement benefits, disability and life insurance, and additional family support benefits.
