Corporate, M&A & Securities Mid-Level Associate Attorney
Corporate, M&A & Securities Mid-Level Associate Attorney
Northern Virginia | 4–5 Years’ Experience | $310,000–$365,000 + Bonus
A leading international law firm is seeking a talented mid-level Corporate, M&A and Securities Associate to join its established transactional practice in Northern Virginia.
This is an excellent opportunity for an associate who has developed strong M&A fundamentals and is ready to take on greater responsibility across sophisticated private equity and middle-market transactions. The successful candidate will work closely with experienced deal lawyers, private equity sponsors and portfolio companies on transactions spanning the full investment lifecycle.
The Opportunity
The associate will play a meaningful role in complex M&A and private equity matters, including platform acquisitions, add-on transactions, portfolio company governance and exits.
Responsibilities will include drafting and negotiating acquisition agreements and the broader suite of transaction documents required to execute M&A and private equity deals. The role offers the opportunity to develop deeper commercial judgment, strengthen client-facing capabilities and assume increasing ownership of transactions.
Candidates with experience advising private equity sponsors and their portfolio companies, particularly in connection with middle-market transactions, will be especially well positioned.
Candidate Profile
Candidates should have:
- 4–5 years of relevant corporate transactional experience, with a strong emphasis on M&A and private equity matters.
- A JD from an ABA-accredited law school and previous experience working in a law firm.
- Strong experience drafting and negotiating acquisition agreements and related M&A transaction documents.
- An understanding of private equity transactions and the investment lifecycle.
- Experience with middle-market deal structures, ideally gained within a sophisticated national or international law firm environment.
- Excellent academic credentials and strong written and verbal communication skills.
- The commercial judgment and maturity required to manage relationships with internal stakeholders and external clients.
- Admission to the Virginia Bar or eligibility to waive into Virginia.
Why Consider This Role?
The practice combines sophisticated transactional work with a genuinely collaborative working environment. Associates benefit from access to a broad international platform while retaining tangible opportunities to develop client relationships, expand their deal experience and progress within the practice.
For an associate looking to build a long-term career in M&A and private equity, the position offers significant exposure to transactions throughout their lifecycle rather than limiting involvement to isolated components of a deal.
The role operates on a hybrid basis, with an expectation of spending at least three business days per week in the office.
Compensation
The anticipated base salary range is $310,000–$365,000, depending on experience and qualifications. The position also offers bonus eligibility and a comprehensive benefits package.
