Associate Attorney – Corporate Finance

A leading national finance practice is seeking a Corporate Finance Associate (2–4 years’ experience) to join its dynamic transactional team. This role offers the opportunity to work on sophisticated credit transactions representing lenders, financial institutions, and private equity sponsors in complex financing arrangements.
Associates in this practice are deeply involved in structuring and executing high-value financings while collaborating with experienced attorneys in a fast-paced, deal-driven environment.
The Opportunity
You will advise clients on a wide range of corporate lending matters, including acquisition financings, syndicated credit facilities, and private credit transactions. The team regularly represents administrative agents, lenders, borrowers, and private equity sponsors across a diverse range of industries.
Associates are encouraged to take on meaningful responsibility early in their careers, including managing aspects of transactions, interacting directly with clients, and playing an integral role in deal execution from inception through closing.
Key Responsibilities

Advise clients on club and broadly syndicated credit facilities across a range of industries

Assist with acquisition financings and leveraged lending transactions

Support private credit facilities involving institutional lenders and alternative capital providers

Draft and negotiate key documentation including credit agreements, commitment letters, term sheets, and security agreements

Work on intercreditor and subordination arrangements in complex capital structures

Prepare and coordinate closing deliverables, including secretary’s certificates, board resolutions, legal opinions, schedules, and exhibits

Collaborate with internal deal teams and external counterparties to manage transaction timelines and closing processes
Ideal Candidate Profile

2–4 years of experience in corporate finance, banking, or leveraged lending within a sophisticated law firm environment

JD required and prior experience working in a law firm

Experience drafting and negotiating credit agreements and related financing documentation

Familiarity with syndicated lending, acquisition financings, and private credit transactions
-
Exposure to private equity sponsors and portfolio company financings is beneficial
-
Strong drafting skills, attention to detail, and commercial awareness

Proactive, collaborative, and capable of managing multiple deal workstreams
