Senior Capital Markets & Securities Associate – Los Angeles
An elite national law firm is seeking an accomplished Senior Capital Markets & Securities Associate to join its expanding corporate practice. This is a high-impact role suited for an attorney with 8+ years of sophisticated transactional experience and the appetite to take a lead position supporting a broad portfolio of public company clients.
In this position, you will serve as a senior member of a well-respected Capital Markets & Securities and Corporate Governance team—trusted to guide clients through their most complex transactions while taking meaningful ownership of relationships, strategy, and execution.
What You’ll Do

Advise public and private companies on a wide range of capital markets transactions, including IPOs, equity offerings, convertible debt financings, and acquisition-related financings.

Counsel clients on Exchange Act reporting, securities compliance, disclosure matters, and corporate governance strategy.

Lead the structuring and negotiation of public stock and debt offerings, tender offers, rights offerings, mergers and acquisitions, licensing deals, and other commercial arrangements.

Run deals from end to end—overseeing strategic planning, delegation, workflow, and issue-spotting for junior and mid-level team members.

Collaborate across offices and disciplines to resolve deal-specific challenges and deliver seamless client service.

Build and deepen long-term relationships as outside counsel to a roster of established public companies.
What You Bring

A minimum of eight years of experience in capital markets, securities, and corporate governance work.

Demonstrated ability to independently manage complex transactions and mentor junior attorneys.

Exceptional drafting, analytical reasoning, and problem-solving skills.

A collaborative mindset and the professionalism needed to operate within a national, team-oriented platform.

Admission to practice in the state where you reside.

JD required and prior experience working in a law firm is mandatory.
