A highly regarded corporate practice is seeking a mid-level Emerging Growth & Venture Capital Associate to join its San Diego team. The Opportunity

In this role, you will work closely with emerging growth companies and the institutional investors that support them, guiding clients through venture capital financings, strategic transactions, and critical stages of growth. You’ll be trusted with meaningful responsibility, direct client exposure, and the chance to deepen your experience across a broad range of corporate matters in a collaborative, high-performance environment.

Key Responsibilities

• Represent emerging growth companies and institutional investors in venture capital and growth equity financings

• Advise clients on mergers and acquisitions, strategic transactions, and day-to-day corporate governance matters

• Draft and negotiate complex transaction documents with precision and commercial awareness

• Manage transactions from inception through closing, exercising sound judgment and attention to detail

• Collaborate with experienced attorneys across disciplines to deliver practical, business-focused solutions

• Build strong client relationships through clear communication, responsiveness, and strategic insight

What We’re Looking For

• JD from an accredited law school

• Admission to practice in the relevant jurisdiction

• At least 4 years of emerging growth and venture capital experience gained at a law firm

• Experience representing both issuers and institutional investors in venture financings

• Exposure to M&A transactions and advising growth-stage companies

• Strong drafting, analytical, and organizational skills

• A collaborative mindset with the ability to manage competing priorities in a fast-paced practice
