Corporate M&A & Securities Senior Associate (5–7 Years)

A sophisticated corporate practice is seeking a Senior Associate with 5–7 years of law firm experience to join a dynamic Corporate M&A and Securities team handling complex private equity and transactional matters. This opportunity is well suited for an attorney ready to operate at a senior level, manage critical deal components, and serve as a trusted advisor to sponsors and portfolio companies.
The Opportunity
This role offers exposure to the full lifecycle of private equity and middle-market M&A transactions, from initial platform investments through add-on acquisitions, portfolio company governance, and exits. You’ll work closely with partners and clients, take ownership of significant workstreams, and contribute meaningfully to a collaborative, growth-oriented practice with a strong national and international platform.
Key Responsibilities

Drafting and negotiating acquisition agreements and the full suite of M&A and private equity transaction documents

Supporting private equity sponsors and portfolio companies across the investment lifecycle

Advising on corporate governance and transaction structuring matters

Managing deal execution and coordinating internal and external stakeholders

Serving as a senior resource to junior attorneys and deal teams
Qualifications

JD required
-
5–7 years of prior experience at a law firm, preferably at a large national or international platform

Significant experience with M&A and private equity transactions, including middle-market deals

Strong drafting and negotiation skills with a deep understanding of transaction documentation

Excellent interpersonal skills, sound business judgment, and the ability to manage client relationships effectively

Bar admission or eligibility for admission in the relevant jurisdiction

Willingness to work in-office on a regular basis as part of a collaborative team environment
