An elite corporate practice is seeking a seasoned Corporate M&A Associate to join its expanding team in San Diego. This role is designed for a lawyer who thrives in complex, high-stakes transactional work and is ready to take on meaningful responsibility within a sophisticated deal environment.
The Opportunity
You’ll work on a steady flow of middle-market and large-cap M&A transactions, advising both private and public companies across a wide range of industries. The practice emphasizes hands-on deal execution, direct client exposure, and collaboration with experienced partners who are deeply invested in associate development.
This is an ideal role for an associate who enjoys drafting and negotiating principal acquisition documents, managing deal processes, and contributing strategically from letter of intent through closing.
What You’ll Do

Lead and support mergers, acquisitions, and related corporate transactions

Draft and negotiate primary deal documents, including purchase agreements and ancillary transaction materials

Manage diligence processes and transaction timelines with precision

Work directly with clients and counterparties, exercising sound commercial judgment

Collaborate closely with colleagues across corporate and related practice areas

Stay current on legal developments impacting M&A and corporate governance
What They’re Looking For

4–6 years of corporate M&A experience, including work for private and public companies

Prior experience in a large law firm environment with immediately transferable skills

Strong drafting, negotiation, and analytical capabilities

Excellent academic credentials
-
Admitted to practice in California
-
A JD from an accredited law school
-
Previous experience working in a law firm is required
