Corporate Associate Attorney (Mid-Level) – Denver | Private Equity & Health Care Transactions

A nationally prominent corporate platform is seeking a mid-level associate to join its Denver office, focusing on sophisticated transactional matters for private equity sponsors and growth-oriented businesses, with a strong emphasis on health care and other regulated industries.

This is an opportunity to work alongside a highly respected, collaborative team advising financial sponsors, portfolio companies, and founder-led businesses on complex transactions and ongoing corporate matters.

The Opportunity

You will play a visible, hands-on role in structuring, negotiating, and executing M&A transactions while maintaining direct client contact. The practice offers exposure to dynamic industries where regulatory complexity meets strategic growth, creating a compelling environment for associates who enjoy both technical rigor and commercial problem-solving.

Key Responsibilities

  • Draft and negotiate acquisition agreements and related M&A transaction documents

  • Prepare and negotiate governing documents, including bylaws, operating agreements, and partnership agreements

  • Manage core aspects of transactions with increasing independence

  • Coordinate and oversee due diligence processes

  • Supervise and mentor junior attorneys

  • Work directly with private equity funds, independent sponsors, portfolio companies, and founder-owned businesses

This role is designed for an associate ready to take ownership of meaningful components of transactions while continuing to build toward senior-level responsibility.

What We’re Looking For

  • 3–4 years of experience handling M&A and corporate transactions within a law firm

  • Experience representing private equity funds, sponsors, portfolio companies, or founder-led businesses

  • Strong drafting and negotiation skills

  • Demonstrated ability to manage deal processes and collaborate within cross-functional teams

  • Admission to the Colorado Bar (or ability to obtain promptly)

  • A JD is required, along with prior experience working in a law firm

Candidates should bring sound judgment, attention to detail, initiative, and a collaborative mindset. A strong academic background is expected.
