An outstanding opportunity has arisen for an accomplished M&A / Private Equity attorney to join a prestigious, internationally recognized law firm’s Corporate practice in New York in a senior, off-track Of Counsel position.

This opportunity is designed for an experienced transactional lawyer who thrives on autonomy, values direct client engagement, and wants to take ownership of sophisticated corporate transactions without the traditional pressures of a partnership-track structure.

The role offers a compelling combination of high-value transactional work, substantial responsibility, and the freedom to develop meaningful client relationships within a sophisticated legal environment.

The Opportunity

You will work closely with corporate clients, private equity sponsors, and sophisticated investors on a broad range of complex domestic and cross-border transactions.

Key responsibilities include:

  • Mergers & Acquisitions: Leading complex acquisitions, divestitures, and strategic corporate transactions from initial structuring through closing.
  • Private Equity Transactions: Advising financial sponsors and portfolio companies on investments, acquisitions, exits, and related corporate matters.
  • Minority Investments: Structuring and negotiating minority equity investments and other strategic transactions.
  • Transaction Leadership: Taking primary responsibility for drafting, negotiating, and managing sophisticated transaction documentation.
  • Client Advisory: Serving as a trusted adviser to corporate executives, investment professionals, and other key stakeholders.
  • Deal Management: Independently coordinating transactions, managing workstreams, and overseeing junior lawyers and specialist teams.
  • Relationship Development: Building and strengthening client relationships while contributing to business development initiatives.

The position provides significant direct client contact and the opportunity to operate with considerable independence on high-profile matters.

What We’re Looking For

We are interested in speaking with senior attorneys who offer:

  • Significant M&A and private equity transactional experience, ideally at senior associate or Of Counsel level.
  • Approximately 10+ years of relevant legal experience, with flexibility for candidates already operating at Of Counsel level.
  • A Juris Doctor (JD) from an accredited law school and previous experience working in a law firm.
  • Extensive experience representing corporate clients, private equity sponsors, and sophisticated investors.
  • A strong command of corporate law, transaction structures, market terms, and negotiation dynamics.
  • Demonstrated expertise drafting and negotiating complex acquisition agreements and related transaction documents.
  • A proven ability to independently lead transactions, manage competing priorities, and exercise sound commercial judgment.
  • Excellent interpersonal skills and the confidence to advise senior-level clients directly.
  • An entrepreneurial mindset, with an interest in business development and long-term relationship building.

Why Consider This Opportunity?

A Senior Role with Genuine Autonomy: Take ownership of sophisticated transactions and client relationships without the conventional expectations associated with partnership-track progression.

High-Caliber Transactional Work: Advise leading corporate clients and private equity investors on complex, commercially significant transactions.

Direct Client Exposure: Build trusted relationships with decision-makers and play a central role in the strategic execution of their transactions.

An Entrepreneurial Platform: Leverage an established legal platform while developing your own client relationships and contributing to the continued growth of the practice.

An Alternative Career Path: Enjoy the professional standing and responsibility of an Of Counsel position while pursuing a long-term career outside the traditional partnership track.

Compensation & Benefits

  • Base Salary: $470,000+ annually, dependent on qualifications and relevant experience.
  • Performance-Based Bonuses: Eligibility for discretionary bonuses.
  • Comprehensive Benefits: Healthcare coverage, retirement benefits, life insurance, and Flexible Spending Accounts.
  • Paid Leave: Vacation, sick leave, and parental leave benefits.

This is a particularly attractive opportunity for a commercially minded M&A attorney who wants to remain at the forefront of sophisticated transactional work while enjoying greater independence, meaningful client ownership, and a clearly defined senior-level career path.
