The Opportunity

You will advise emerging and established businesses, entrepreneurs, and venture capital investors on a broad range of corporate and transactional matters, including:

• Venture Capital & Financing: Representing startups and investors in seed, early-stage, and growth financing transactions.
• Corporate Formation & Governance: Advising on entity formation, capitalization structures, governance, and ongoing corporate matters.
• Mergers & Acquisitions: Supporting strategic acquisitions, exits, and other complex corporate transactions.
• Technology Transactions: Advising on technology transfers, commercial arrangements, and joint ventures.
• Outside General Counsel Advisory: Acting as a trusted legal adviser to innovative businesses throughout their growth journeys.
• Equity & Capitalization: Working with capitalization tables, financial models, and distribution waterfalls.

The client base spans some of the most dynamic sectors of the economy, including artificial intelligence, cybersecurity, software, digital commerce, consumer products, healthcare innovation, media, and transportation.

What We’re Looking For

The ideal candidate will bring:

• 3–5 years of relevant corporate transactional experience, ideally involving emerging companies and venture capital financing.
• A Juris Doctor (JD) from an accredited law school and previous experience working in a law firm.
• Active admission to the New York Bar.
• Experience advising emerging growth companies, venture-backed businesses, or institutional investors.
• Strong proficiency in Excel, capitalization table management, and waterfall modeling.
• Excellent academic credentials, legal research capabilities, drafting skills, and commercial judgment.
• The ability to manage competing priorities and deliver sophisticated advice in a fast-moving transactional environment.
• A genuine interest in entrepreneurship, emerging technologies, and the commercial challenges facing growing businesses.
