Healthcare Transactions Associate Attorney

Healthcare Transactions Associate Attorney

Nashville, Chicago or Houston Preferred | 2–6 Years’ Experience

A nationally recognized healthcare practice is seeking a talented Healthcare Transactions Associate to join its growing transactional team. Preferred locations include Nashville, Chicago and Houston, with additional office locations potentially available for the right candidate.

This is an excellent opportunity for a corporate/M&A attorney who wants to develop a sophisticated practice at the intersection of healthcare, private equity and strategic transactions.

The successful candidate will become an integral member of deal teams advising healthcare businesses and investors on complex transactions, with meaningful responsibility for execution and the opportunity to develop deeper industry expertise.

The Opportunity

You will work closely with experienced healthcare transactional attorneys on sophisticated matters involving healthcare businesses and legal management services organizations, taking responsibility for key elements of transactions from diligence through closing.

Your work will include:

  • Drafting, reviewing and negotiating principal and ancillary transaction documents.
  • Managing significant components of healthcare M&A transactions.
  • Leading and coordinating transactional due diligence.
  • Working with regulatory and other specialist attorneys to identify and resolve deal issues.
  • Managing transaction processes and coordinating multiple workstreams.
  • Supervising junior associates as your role on matters develops.
  • Working directly with senior attorneys and clients throughout transaction execution.

The position provides the opportunity to combine traditional corporate and M&A skills with the regulatory and commercial considerations that make healthcare transactions particularly complex.

Candidate Profile

Candidates should have:

  • 2–6 years of corporate and M&A experience.
  • A JD and previous experience working in a law firm.
  • Immediately transferable corporate transactional and M&A skills.
  • Strong drafting and negotiation capabilities.
  • Excellent organizational and project-management skills.
  • The ability to manage multiple transaction workstreams effectively.
  • Sound judgment and close attention to detail.
  • The ability to collaborate effectively within fast-moving deal teams.
  • A strong academic background.
  • Admission to the Bar, or eligibility to become admitted, in the jurisdiction where they will be based.

Prior healthcare transactional experience is strongly preferred, although candidates with strong general M&A backgrounds who are interested in developing a healthcare focus should also be relevant.

Experience involving private equity transactions will be particularly valuable.

Why Healthcare Transactions?

For an M&A associate looking to develop a differentiated practice, this position provides exposure to transactions within one of the most sophisticated and highly regulated areas of the market.

You will have the opportunity to develop expertise that extends beyond conventional deal execution, learning how corporate, regulatory and commercial considerations interact within healthcare transactions.

The breadth of the work also creates opportunities to advise different participants across the healthcare ecosystem while building relationships with experienced attorneys and sophisticated clients.

Career Development

The environment is collegial and collaborative, with associates benefiting from access to a broad national and international platform and meaningful opportunities to assume greater responsibility as they progress.

For a corporate attorney seeking sophisticated deal experience, increasing transaction ownership and a valuable healthcare specialization, this represents a strong platform for continued career development.

The role operates on a hybrid basis, with an expectation of working from the office at least three business days per week.
