An exceptional opportunity has arisen for a mid-level Corporate Associate to join a highly regarded venture capital and emerging companies practice with a leading international law firm. This role is ideal for an attorney who thrives in a fast-paced, entrepreneurial environment and is looking to work with innovative, high-growth businesses and sophisticated institutional investors.
You will become part of a collaborative and expanding team advising venture-backed companies and investors throughout the full company lifecycle, from formation and early-stage financings through to later-stage growth transactions and strategic corporate matters.
The Role
This position offers significant responsibility, direct client interaction, and the opportunity to play a key role in complex venture capital transactions. Responsibilities will include:
- Drafting and negotiating transaction documents for seed through late-stage venture financings, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors’ rights agreements, voting agreements, and related documents.
- Advising emerging growth companies on entity formation, corporate governance, securities issuances, capitalization matters, and day-to-day corporate issues as they scale.
- Representing venture capital funds and institutional investors in new investments, follow-on financings, and portfolio company matters.
- Managing due diligence processes and coordinating transactions efficiently within leanly staffed deal teams.
- Building and maintaining strong client relationships while collaborating closely with senior attorneys on sophisticated corporate matters.
The Candidate
The successful candidate will have:
- 3–5 years of corporate transactional experience with substantial exposure to venture capital financings and emerging growth companies.
- Experience representing both companies and investors in venture capital transactions.
- A Juris Doctor (JD) from an accredited law school.
- Previous experience working in a law firm is essential.
- Strong drafting, negotiation, and project management skills.
- Outstanding academic credentials and sound commercial judgment.
- The ability to manage multiple priorities and perform effectively in a dynamic, high-responsibility environment.
- Admission to, or eligibility for admission to, the Massachusetts and/or New York Bar.
