A highly regarded national law firm is seeking a Capital Markets / Securities Associate with 3+ years of experience to join its sophisticated corporate practice in New York.
This is an opportunity to work on high-profile capital markets transactions and complex securities matters, advising a broad range of market participants including issuers, underwriters, investment banks, and institutional investors. The ideal candidate will be looking to deepen their experience in a fast-moving, collaborative environment where technical excellence and commercial judgment are highly valued.

What You’ll Be Doing
- Lead and execute a wide range of corporate finance transactions, including public and private securities offerings
- Advise on equity offerings, warrants, convertible instruments, and at-the-market (ATM) programs
- Counsel clients on securities law compliance, disclosure obligations, and ongoing reporting requirements
- Support alternative public market strategies, including de-SPAC transactions, reverse mergers, and direct listings
- Draft and negotiate offering documents, registration statements, transactional agreements, and related securities filings
- Partner closely with senior attorneys and clients on complex strategic transactions and regulatory matters
What We’re Looking For
- 3+ years of capital markets and securities experience with a law firm
- Strong experience handling securities offerings and broader corporate transactional matters
- Deep working knowledge of the Securities Act, Exchange Act, and applicable stock exchange regulations
- Exceptional drafting, negotiation, and communication skills
- Ability to manage multiple active transactions and competing deadlines in a fast-paced practice
- Juris Doctor (JD) required
- Previous experience working in a law firm is required
- Admission to at least one U.S. state bar (New York preferred)
