Associate Attorney – Commercial Finance (3–6 Years’ Experience)

You’ll join a highly regarded finance team representing a broad spectrum of institutional clients—including lenders, private equity sponsors, investors, and nonprofit organizations—on a wide range of cutting-edge transactions.
What You’ll Do
- Advise clients on complex commercial finance transactions, including syndicated and portfolio deals
- Structure, draft, and negotiate loan and credit agreements across a variety of financing arrangements
- Work closely with lenders, borrowers, and investors on deal execution from inception through closing
- Analyze and apply Article 9 of the UCC and bankruptcy considerations across all stages of transactions
- Support and advise on workouts, restructurings, and special situations (where applicable)
- Collaborate with cross-functional teams on multi-layered transactions, including those involving M&A and private equity components

What You Bring
- 3–6 years of experience in commercial finance or related transactional practice
- Strong background in handling complex financing transactions
- Working knowledge of Article 9 of the UCC and bankruptcy law in a finance context
- Excellent drafting, analytical, and negotiation skills
- Ability to manage multiple matters in a fast-paced environment
- Strong academic credentials
- JD required and prior experience working in a law firm
- Active bar admission in at least one relevant U.S. jurisdiction
Preferred Experience
- Exposure to workouts, restructuring, or distressed situations
- Familiarity with private equity-backed transactions or M&A
Compensation & Benefits
- Competitive base salary ranging from $210,000 to $305,000, depending on experience and location
- Eligibility for performance and profit-sharing bonus programs
