Associate Attorney– Emerging Companies & Venture Capital (4–7 Years’ Experience)

This role offers the opportunity to work at the center of the startup ecosystem, guiding high-growth companies and venture investors through every stage of their lifecycle—from formation to exit.
You’ll be part of a nationally integrated team working with a diverse client base across industries, gaining hands-on experience in sophisticated transactions while developing a strong commercial perspective.
What You’ll Do
- Advise emerging growth companies and venture capital investors on capital raises, including preferred equity financings, SAFEs, and convertible notes
- Lead and support mergers & acquisitions, strategic investments, and other complex corporate transactions
- Draft and negotiate transaction documents, manage deal processes, and drive closings
- Counsel clients on day-to-day corporate governance, including board matters and equity incentive planning
- Provide guidance on federal securities laws, compliance, and best practices
- Partner closely with founders, executives, and investors to deliver practical, business-oriented legal solutions

What You Bring
- 4–7 years of experience in corporate law with a focus on emerging companies and venture capital
- Strong background in private financings, M&A, and corporate transactions
- Solid understanding of securities laws and regulatory frameworks
- Experience managing deals from inception through closing
- Excellent drafting, negotiation, and communication skills
- Ability to manage multiple complex matters in a fast-paced setting
- JD required and prior experience working in a law firm
- Admission to practice in California

- Experience at a leading national or highly regarded boutique law firm
- Strong academic credentials
Compensation & Benefits
- Competitive base salary ranging from $285,000 to $370,000, depending on experience and location
