A leading technology and life sciences law firm is seeking a 4–6 year Associate to join its Executive Compensation practice. This role offers the opportunity to work on complex and high-profile compensation matters, particularly in connection with M&A transactions, public company work and strategic advisory mandates.
Associates will work closely with top-tier clients, including Fortune 500 and high-growth technology companies, on cutting-edge compensation issues.
Key Responsibilities:
- Advise clients on executive compensation matters in M&A transactions and public company contexts
- Support equity compensation and incentive plan structuring
- Provide guidance on regulatory and tax aspects of compensation arrangements
- Draft and review compensation-related agreements and disclosures
- Counsel clients on ongoing compliance and governance matters
- Collaborate with corporate teams on transactional matters
Who You Are:
- 4–6 years of executive compensation experience
- Strong knowledge of relevant tax provisions, including Sections 409A, 280G, 83 and 421–424
- Experience advising on compensation in M&A and capital markets transactions
- Strong academic credentials
- Excellent drafting, analytical and communication skills
- Experience at a leading law firm preferred
- Admitted to practice in the relevant jurisdiction
Compensation:
Salary Range: $310,000 – $390,000 (DOE)
