A leading technology and life sciences law firm is seeking a 4–6 year Associate to join its Executive Compensation practice. This role offers the opportunity to work on complex and high-profile compensation matters, particularly in connection with M&A transactions, public company work and strategic advisory mandates.

Associates will work closely with top-tier clients, including Fortune 500 and high-growth technology companies, on cutting-edge compensation issues.

Key Responsibilities:

  • Advise clients on executive compensation matters in M&A transactions and public company contexts
  • Support equity compensation and incentive plan structuring
  • Provide guidance on regulatory and tax aspects of compensation arrangements
  • Draft and review compensation-related agreements and disclosures
  • Counsel clients on ongoing compliance and governance matters
  • Collaborate with corporate teams on transactional matters

Who You Are:

  • 4–6 years of executive compensation experience
  • Strong knowledge of relevant tax provisions, including Sections 409A, 280G, 83 and 421–424
  • Experience advising on compensation in M&A and capital markets transactions
  • Strong academic credentials
  • Excellent drafting, analytical and communication skills
  • Experience at a leading law firm preferred
  • Admitted to practice in the relevant jurisdiction

Compensation:
Salary Range: $310,000 – $390,000 (DOE)
