A leading global law firm is seeking a mid-level Capital Markets Associate to join its sophisticated corporate practice in Miami. This is a standout opportunity for an associate looking to work on high-profile U.S. and cross-border securities transactions while gaining meaningful responsibility and client exposure.

You will be part of a nationally recognized capital markets team advising issuers, underwriters, and financial institutions on complex and high-value transactions across a wide range of industries.

What You’ll Do

  • Advise clients on a broad spectrum of capital markets transactions, including equity and debt offerings
  • Draft and negotiate offering documents and related transaction materials
  • Lead and support deals such as IPOs, Rule 144A and Regulation S offerings, PIPEs, SPAC transactions, REIT offerings, and at-the-market (ATM) programs
  • Manage due diligence processes and coordinate multi-disciplinary deal teams
  • Provide guidance on securities laws, disclosure obligations, and corporate governance matters
  • Take an active role in transaction execution from structuring through closing

What They’re Looking For

  • 2–6 years of experience in corporate transactions, with a strong focus on capital markets
  • Demonstrated experience handling sophisticated securities offerings and related documentation
  • Strong understanding of transaction mechanics and the ability to manage deal execution
  • Excellent academic credentials and superior writing skills
  • Strong interpersonal skills, sound judgment, and the ability to thrive in a fast-paced environment
  • Experience working collaboratively across teams and mentoring junior associates
  • Admission to the Florida Bar (or eligibility to obtain admission promptly)
  • J.D. required, along with prior experience working in a law firm
