A well-established national corporate practice is seeking a Corporate Finance Associate (3–6 years’ experience) to join its growing finance team. This opportunity offers exposure to a diverse mix of lending transactions involving financial institutions, private credit lenders, corporate borrowers, and private equity-backed companies.
Associates in this practice play a central role in structuring and executing financing transactions while working closely with experienced attorneys in a collaborative and client-focused environment.
The Opportunity
You will advise clients on a wide range of corporate lending matters, including loan originations and real estate-related financings. The practice regularly represents financial institutions, private credit lenders, and corporate borrowers in complex credit transactions across a variety of industries.
Associates in the team take on meaningful responsibility, including managing transaction workstreams, coordinating due diligence efforts, and drafting key financing documentation.
Key Responsibilities

Assist with corporate finance transactions involving lenders, borrowers, and private credit providers

Draft and negotiate key documentation including loan agreements, security agreements, and intercreditor arrangements

Advise clients on loan originations and commercial lending transactions

Support real estate financing transactions within broader corporate lending structures

Lead transactional due diligence efforts, coordinating with specialists and internal teams

Review and analyze covenant compliance and financing terms

Manage deal components and coordinate closing processes across multiple transaction stakeholders
Ideal Candidate Profile

3–6 years of experience in corporate finance, banking, or secured lending within a sophisticated law firm environment

JD required and prior experience working in a law firm

Experience representing financial institutions, private credit lenders, or borrowers in financing transactions

Strong drafting experience with loan agreements, security documents, and intercreditor agreements

Familiarity with real estate finance transactions within broader lending structures

Excellent academic credentials, writing ability, and strong organizational skills

Ability to manage multiple assignments with minimal supervision in a fast-paced transactional environment
