Associate Attorney – Leveraged Finance (New York)

A globally recognized finance practice is seeking a Mid-Level Leveraged Finance Associate (4–5 years’ experience) to join its expanding debt finance team. This opportunity offers the chance to work on sophisticated financing transactions alongside experienced attorneys advising private equity sponsors, corporate borrowers, lenders, and institutional investors.
Associates in this practice play a meaningful role in complex leveraged finance matters across the full capital structure while collaborating with clients on high-value domestic and cross-border transactions.
The Opportunity
You will work closely with deal teams advising private equity sponsors, portfolio companies, and financial institutions on a broad range of leveraged finance transactions. The practice regularly handles sophisticated financings including acquisition financings, recapitalizations, and refinancings across a variety of industries.
Associates are given significant responsibility in managing transactions, drafting core financing documentation, and leading key components of deals from structuring through closing.
Key Responsibilities

Advise clients on leveraged finance transactions and acquisition financings

Assist with asset-based lending facilities and term loan structures

Work on senior secured and mezzanine debt financings across complex capital structures

Support dividend recapitalizations, refinancings, and restructuring transactions

Draft and negotiate key documentation including credit agreements, commitment papers, and related financing instruments

Manage transaction components including signings, closings, and coordination of deal workstreams

Collaborate with sponsors, lenders, and internal deal teams on complex financing matters
Ideal Candidate Profile

4–5 years of experience in leveraged finance, debt finance, or sponsor finance within a sophisticated law firm environment

JD required and prior experience working in a law firm

Experience representing private equity sponsors, corporate borrowers, lenders, or financial institutions

Strong background drafting and negotiating credit agreements and debt commitment documentation

Exposure to middle-market sponsor-backed transactions or private credit financings is advantageous

Excellent drafting, analytical, and communication skills

Active New York Bar membership
