A premier global finance practice is seeking a Corporate Finance Associate (3–5 years’ experience) to join its dynamic debt finance team. This role offers the opportunity to work on complex, high-value financings involving private credit funds, private equity sponsors, financial institutions, and corporate borrowers across a wide range of industries.

Associates in this practice are regularly involved in market-shaping transactions and innovative financing structures across the full spectrum of the capital markets.

The Opportunity

You will work alongside experienced attorneys advising both lenders and borrowers on sophisticated financing arrangements, including leveraged financings, private credit investments, and debt restructurings. The practice regularly handles complex transactions involving large-cap and middle-market sponsors, institutional lenders, and investment funds.

Associates are encouraged to take on significant responsibility in structuring and executing transactions while developing strong client-facing and deal management skills.

Key Responsibilities

  • Advise clients on leveraged finance transactions and acquisition financings

  • Assist with direct lending and private credit investments involving private equity sponsors and investment funds

  • Support senior secured lending, bridge financings, and asset-based lending facilities

  • Work on domestic and cross-border debt financings across a variety of industries

  • Draft and negotiate key transaction documents including credit agreements, security agreements, commitment papers, and intercreditor arrangements

  • Assist with debt restructuring and liability management transactions involving borrowers and creditors

  • Collaborate with deal teams and clients to manage complex financings from structuring through closing

Ideal Candidate Profile

  • 3–5 years of experience in corporate finance, leveraged finance, or debt finance within a sophisticated law firm environment

  • JD required and prior experience working in a law firm

  • Strong experience drafting and negotiating credit agreements and related financing documentation

  • Exposure to private credit, sponsor-backed financings, or leveraged lending

  • Excellent drafting, analytical, and communication skills

  • Strong academic credentials and the ability to manage multiple transactions in a fast-paced practice

  • Admission to the bar in the jurisdiction of practice
