Associate Attorney – Public Finance

A nationally respected public finance practice is seeking an experienced associate to join its team and take a leading role on sophisticated municipal bond financings and restructuring matters. This position offers exposure to complex, high-impact transactions involving governmental issuers, institutional investors, nonprofit organizations, and major financial market participants.

The Opportunity
You will work on a broad range of municipal finance matters, including new-money financings, refinancings, and workouts of public finance debt. Associates in this group take meaningful responsibility for structuring transactions and managing deal execution while collaborating closely with experienced partners and market-leading clients.
The practice advises across the full spectrum of public finance participants and regularly handles innovative transactions involving complex financing structures.
Key Responsibilities

Serve as lead or supporting associate on municipal bond financings and public finance transactions

Assist in the structuring and execution of tax-exempt and taxable bond issuances

Advise clients in roles including bond counsel, disclosure counsel, issuer’s counsel, and underwriter’s counsel

Support financings involving governmental issuers, state agencies, and local authorities

Work on transactions involving 501(c)(3) borrowers, nonprofit institutions, and conduit borrowers

Draft and negotiate key transaction documents including bond documents, offering materials, financing agreements, and disclosure documents

Advise on public finance restructurings and workouts, including matters involving institutional investors, trustees, and credit enhancement providers

Coordinate with clients, financial advisors, underwriters, and other transaction participants through closing
Ideal Candidate Profile

Strong experience in public finance transactions within a sophisticated law firm environment

JD required and prior experience working in a law firm

Experience structuring municipal bond financings and debt transactions

Familiarity with municipal bond documentation, real estate aspects of bond financings, and UCC considerations

Excellent drafting, analytical, and communication skills

Ability to manage complex transactions and maintain strong relationships with clients and deal participants

Highly motivated and able to thrive in a collaborative, fast-paced transactional environment
