Senior Associate Attorney – Leveraged Finance / Private Credit

An elite national finance practice is seeking a Senior Associate (5–7 years’ experience) to join its growing Leveraged Finance and Private Credit team. This role offers the opportunity to work on sophisticated sponsor-backed financings and complex credit structures alongside highly regarded attorneys in a fast-moving, deal-driven environment.

The Opportunity
You will play a central role in structuring and executing complex financings for financial institutions, private credit funds, and alternative lenders. The team handles a steady flow of high-value transactions across industries, offering exposure to cutting-edge deal structures and evolving market dynamics.
Senior associates are expected to take ownership of deal workstreams, collaborate directly with clients and counterparties, and drive transactions efficiently from structuring through closing.
Key Responsibilities

Lead and support sponsor-backed acquisition financings across a wide range of industries, including cross-border and multi-currency transactions

Structure and negotiate cash-flow and asset-based lending facilities, including senior, stretch senior, and superpriority revolvers

Advise on multi-lender and syndicated facilities, including complex intercreditor and subordination arrangements

Work on unitranche financings and first-out/last-out structures within the private credit market

Structure mezzanine and subordinated debt investments, including preferred equity co-investments and hybrid solutions

Handle liability management transactions, including uptiers, exchange offers, drop-downs, covenant resets, amendments, and waivers

Advise sponsors and lenders on refinancings, recapitalizations, and amend-and-extend transactions for portfolio companies

Draft and negotiate sophisticated documentation including credit agreements, commitment papers, security documents, and intercreditor agreements
Ideal Candidate Profile

5–7 years of experience handling leveraged finance, sponsor finance, or private credit transactions in a sophisticated law firm environment

JD required and prior experience working in a law firm

Proven experience advising lenders, credit funds, or financial institutions on complex financing transactions

Strong familiarity with unitranche structures, syndicated facilities, sponsor-backed financings, and liability management transactions

Excellent drafting skills and strong commercial judgment

Ability to manage deal components independently and communicate confidently with clients and counterparties

Experience in high-performance transactional practices handling complex, fast-paced deals
