Capital Markets Associate (Mid–Senior Level, 5–7 Years)
Location: New York City

A leading capital markets practice is seeking a mid- to senior-level Associate with 5–7 years of law firm experience to join a sophisticated New York–based team advising public and private companies on complex securities matters. This is an excellent opportunity for an attorney looking to work at the forefront of high-profile capital markets transactions while building long-term client relationships.

The Opportunity
You’ll work on a wide range of equity and debt offerings, including IPOs and follow-on transactions, for clients across diverse industries. The role offers significant client exposure, hands-on responsibility, and the chance to collaborate closely with experienced partners on both transactional and ongoing public company matters.

Key Responsibilities

  • Advising on public and private equity and debt offerings, including IPOs and follow-on offerings

  • Drafting and reviewing registration statements, proxy statements, and S-4s in connection with business combination transactions

  • Interfacing with the SEC and other regulators

  • Counseling public companies on ongoing reporting obligations under the ’34 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statements

  • Advising on corporate governance and securities compliance matters

  • Representing issuers and, where applicable, underwriters

  • Supporting client development and maintaining strong client relationships

Qualifications

  • JD required

  • 5–7 years of prior experience at a law firm, ideally within a peer capital markets or BigLaw environment

  • Substantial experience with securities offerings and public company reporting

  • Strong drafting, negotiation, and client management skills

  • Sound judgment and the ability to manage matters independently

  • New York bar admission required

Compensation

  • Competitive base salary range of $365,000–$420,000, depending on experience and qualifications

  • Eligibility for discretionary bonuses and a comprehensive benefits package
