Venture Capital & Emerging Growth Associate (Mid-Level)

A nationally integrated Venture Capital & Emerging Growth practice is seeking a mid-level Corporate Associate with 3+ years of law firm experience to join a fast-growing, market-facing team working with innovative companies and investors across the U.S.
The Opportunity
This role offers the chance to work at the center of the venture ecosystem, advising emerging companies, venture funds, and growth-stage investors on high-impact transactions. Associates are given meaningful responsibility, frequent client interaction, and the opportunity to collaborate across corporate, M&A, IP, tax, and regulatory teams on complex, venture-backed matters.
The practice is particularly active in technology, life sciences/biotech, and consumer products, and values attorneys who are commercially minded, adaptable, and energized by entrepreneurial environments.
Key Responsibilities

Representing companies and investors in venture and growth equity financings

Drafting and negotiating NVCA-based and bespoke financing documents

Advising on corporate governance, capitalization, and strategic structuring matters

Supporting M&A, joint ventures, private equity, and other complex corporate transactions

Managing multiple matters efficiently in a fast-paced, deal-driven practice

Collaborating closely with partners and cross-disciplinary teams
Qualifications

JD required
-
Minimum of 3 years of prior experience at a law firm handling sophisticated corporate transactions

Meaningful exposure to venture capital and emerging growth companies

Strong drafting skills, sound business judgment, and excellent communication abilities

Ability to navigate complex subject matter quickly and take ownership of matters

Experience beyond traditional technology practices—particularly life sciences or biotech—is a plus
Compensation
-
Highly competitive base salary ranging from $250,000–$435,000, depending on experience

Discretionary bonus potential and a comprehensive benefits package
