Location: New York, NY
A top-tier corporate-focused practice is seeking an associate to join its Executive Compensation & Employee Benefits group in New York. The team advises public and private companies, private equity sponsors, funds, executives, lenders, and creditors on complex compensation and benefits matters arising in high-value corporate transactions.
This role offers sophisticated deal exposure, close partner interaction, and the opportunity to develop deep expertise at the intersection of compensation, corporate, securities, tax, and restructuring matters.
Key Responsibilities:

Advise on executive compensation and employee benefits matters in connection with mergers and acquisitions, financings, and restructurings.

Handle equity and incentive compensation arrangements, severance and change-in-control issues, and management rollovers.

Advise on securities law aspects of executive compensation, including public company disclosure and compliance matters.

Support compensation and governance issues arising in bankruptcy and restructuring contexts.

Work closely with corporate, restructuring, tax, and securities teams on integrated transactions.
Who You Are:

2–3 years of experience in executive compensation and employee benefits at a comparable law firm.

Experience supporting corporate transactions and financial restructurings.

Familiarity with securities disclosure and governance aspects of executive compensation is strongly preferred.

Strong academic credentials with excellent drafting and analytical skills.

Commercial, detail-oriented, and comfortable working in a fast-paced, deal-driven environment.
Compensation:
-
Salary Range: $225,000 – $415,000 DOE
