A distinguished New York practice is seeking a talented Debt Finance Associate with 3–6 years of sophisticated lending experience to join a high-performing, fast-growing team. In this position, you will advise arrangers, agents, lenders, and borrowers across a broad spectrum of syndicated and bilateral credit facilities. The work spans secured term loans, cash-flow and asset-based revolving credit facilities, leveraged acquisition financings, first- and second-lien structures, mezzanine and unsecured facilities, and matters involving both middle-market and investment-grade borrowers. What You’ll Do

  • Draft, negotiate, and review the full suite of loan documentation, including credit agreements, security agreements, guarantees, intercreditor and subordination agreements, promissory notes, fee and commitment letters, term sheets, and amendments.

  • Guide clients through secured lending issues involving UCC Article 9 and related components of Article 8.

  • Manage diligence for sophisticated financing transactions, including review of searches, organizational materials, management agreements, and preparation of disclosure schedules.

  • Coordinate complex closings and oversee the delivery of third-party requirements such as control agreements, bailee waivers, insurance endorsements, and credit-related operational agreements.

  • For more senior candidates, contribute to drafting and negotiating legal opinions and opinion-related diligence.

  • Engage directly with major market participants—including debt funds, financial institutions, private equity sponsors, and private companies—across a diverse mix of industries and deal types, including cross-border, project finance, venture-stage lending, restructuring, and workouts.

Qualifications

  • JD required

  • Previous experience working in a law firm is required

  • 3–6 years of debt finance experience with a focus on secured lending

  • Admission to practice in New York

  • Strong drafting, negotiation, and project-management skills

  • Ability to handle multiple workstreams and communicate clearly with clients and colleagues
